1. Introduction

These Terms and Conditions govern the sale of footwear and related products by Neob Ventures ("Manufacturer") to its customers ("Buyer"). By placing an order, the Buyer agrees to these terms.

2. Orders and Acceptance

2.1 All orders are subject to acceptance by the Manufacturer.

2.2 Orders must be confirmed in writing, including product specifications, quantity, price, and delivery schedule.

2.3 The Manufacturer reserves the right to reject or modify any order based on feasibility and availability.

3. Pricing and Payment

3.1 Prices are quoted in INR and are exclusive of taxes, duties, and shipping charges unless stated otherwise.

3.2 Payment terms will be agreed upon before order confirmation. Late payments may incur additional fees.

3.3 The Manufacturer reserves the right to adjust prices due to market fluctuations, raw material costs, or regulatory changes.

4. Production and Delivery

4.1 Production timelines are estimated and may be subject to change due to unforeseen circumstances.

4.2 The Manufacturer will make reasonable efforts to meet delivery deadlines, but delays due to force majeure or supply chain disruptions shall not be liable for penalties.

4.3 Risk of loss passes to the Buyer upon shipment.

5. Quality and Warranty

5.1 The Manufacturer ensures that products meet agreed-upon specifications and industry standards.

5.2 Any defects must be reported within 7 days of receiving the goods.

5.3 The Manufacturer reserves the right to replace or refund defective products at its discretion.

5.4 Warranty does not cover damages due to misuse, improper handling, or unauthorized modifications.

6. Intellectual Property

6.1 All designs, trademarks, and intellectual property associated with the products remain the exclusive property of the Manufacturer unless otherwise agreed in writing.

6.2 The Buyer may not reproduce or use the Manufacturer’s designs for commercial purposes without prior consent.

7. Returns and Cancellations

7.1 Orders cannot be canceled once production has started.

7.2 Returns are only accepted for defective products, subject to inspection and approval by the Manufacturer.

7.3 Customized or made-to-order products are non-returnable and non-refundable.

8. Confidentiality

8.1 Any confidential information shared between the Manufacturer and the Buyer shall remain protected and shall not be disclosed to third parties without consent.

9. Limitation of Liability

9.1 The Manufacturer shall not be liable for indirect, incidental, or consequential damages arising from product use or contract breaches.

10. Governing Law and Dispute Resolution

10.1 These Terms shall be governed by the laws of Indian Jurisdiction.

10.2 Any disputes shall first be resolved through negotiation; if unresolved, they shall be settled through arbitration or legal proceedings in the applicable jurisdiction.

11. Amendments and Updates

11.1 The Manufacturer reserves the right to update these Terms and Conditions at any time. The latest version will apply to all transactions.
